Terms of Service (India)
General Terms of Service
THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (HEREINAFTER "YOU" OR "YOUR") AND ZOHO PAYMENT TECHNOLOGIES PRIVATE LIMITED (HEREINAFTER "ZOHO") SETTING FORTH THE TERMS AND CONDITIONS GOVERNING YOUR USE OF PAYMENT AGGREGATION, BILL PAYMENTS AND COLLECTION AND OTHER SERVICES PROVIDED BY ZOHO ("SERVICES" ).
Parts of this Agreement
This Agreement consists of the following terms and conditions (hereinafter the “General Terms”) and terms and conditions, if any, specific to use of individual services (hereinafter the “Service Specific Terms”). In the event of a conflict between the General Terms and Service Specific Terms, the Service Specific Terms shall prevail.
Acceptance of the Agreement
You must be of legal age to enter into a binding Agreement in order to accept the Agreement. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to any Service Specific Terms, do not use the corresponding Service. You can accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of the Agreement or by actually using the Services.
Registration
For using the Services, you must register for an account with Zoho ("Zoho Account"). To be eligible to register for a Zoho Account (i) you must be of 18 years of age or above; (ii) you must have legal capacity to agree and be bound by these terms; and (iii) your entity must be incorporated in India. You are solely responsible for ensuring confidentiality of the login ID, password, and your Zoho Account information. You are liable for all activities that take place under your Zoho Account, and Zoho shall, in no way, be liable for activities that take place in your Zoho Account.
We may collect (i) personal information of the beneficial owner(s) and business representatives such as name, birthdate and identification number issued by government; (ii) business information such as trade name, address, phone number, email, business registration or identification number, permanent account number, business licenses, tax identification number, value and volume of your sales and any other information of your business required for registration. If necessary, you agree that Zoho may require you to provide additional documents substantiating the information provided by you during registration. We may also collect financial information such as financial statements, invoices, receipts and other documents for verification and risk assessment. You shall, at all times, keep your information current and accurate. Failure to keep your information accurate and updated may result in suspension or termination of the Services.
Verification and Onboarding
In addition to the information provided at the time of registration, we may retrieve some additional information regarding you from our service providers or other third parties, such as credit reporting agencies, information bureaus, GST Network and you authorize such third parties to share your information to Zoho. Further, you authorize Zoho to collect, access and process certain information about you and your use of services offered by other Zoho group entities, such as (i) any information that you provide to that Zoho group entity when you create an account, your account settings and preferences, administrators and user roles; (ii) details of your subscriptions to services provided by Zoho group entities and payment related information; and (iii) information relating to invoices that you issue to your customers including the details of products or services and shipping information. Information provided by you at the time of registration and information collected from third parties and other Zoho group entities will be used by Zoho to (i) verify your identity and documents; (ii) perform risk assessment periodically; and (iii) determine your eligibility to use the Service ("Verification").
Additional Information
You understand that Zoho may, at anytime, require additional documents and information if it deems necessary, and you shall have the obligation to furnish the documents so required, to Zoho. You acknowledge and undertake that the documents and information provided by you are (i) true and correct; and (ii) current and up-to-date. Your failure to provide the documents and information required by Zoho may result in withholding of onboarding process or denial of Services. Zoho may reject, suspend or even terminate your registration, (i) if Zoho determines or believes that any document or information provided by you is inaccurate or fabricated; or (ii) for any reasons specified in the General Terms or applicable Service Specific Terms. Zoho may also undertake antecedent checks to ensure that you do not have any malafide intention of duping customers and you do not sell fake, counterfeit or prohibited goods or services etc. Upon successful completion of Verification, you will be onboarded as a user. Once you are onboarded, you are required to provide Zoho with current address of each of your offices, all "doing business as" (DBA) used by you, and a complete description of goods and/or services provided by you on an ongoing basis.
Bank Account
For the purpose of settlement of funds received from your customers, you must provide details of an active bank account in good standing that is owned and controlled by you ("Bank Account"). You are solely responsible for providing current and accurate details of your Bank Account, and you hereby represent that such details you provide are true to your knowledge. Zoho is not responsible for any losses you incur as a result of incorrect bank details you provide.
Merchant Obligations
- You are responsible for all activities that occur in your Zoho Account. You shall promptly inform Zoho of any unauthorized use of your Zoho Account. You agree that Zoho is not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your Zoho Account;
- You shall fulfill your obligations in accordance with the terms agreed between you and your customers, including the provision of goods and services;
- You are solely responsible for addressing all issues relating to your goods and services, including but not limited to pricing, order fulfillment, order cancellation, returns, refunds, adjustments, chargebacks, rebates, functionality and warranty, and technical support;
- You shall provide a reasonable level of customer support to the satisfaction of your customers;
- You shall not use the Services for provision of goods or services that fall outside the category of goods or services you declared at the time of onboarding;
- You shall not offer any products or services that are (i) prohibited, illegal, unlawful or offensive; or (ii) in violation of the General Terms or applicable Service Specific Terms;
- You shall not use the Service for any fraudulent or illegal purposes;
- You shall promptly notify Zoho in case of (i) any insolvency event or any adverse change in your financial condition; (ii) any change in the control or ownership of your business or parent entity; (iii) any change in the nature of your business or the type of goods and services that you offer to your customers; or (iv) any change in business or trading name, legal status, current address of each office or any other details that you have provided to Zoho at the time of registration.
Representations and Warranties
You hereby represent and warrant that:
- you are eligible and authorized to conduct the business and use the Service;
- the information you provide regarding your business, products or services or any other information is true and accurate;
- you will comply with all applicable laws, including but not limited to Prevention of Money Laundering Act, 2002, Foreign Exchange Management Act, 1999;
- you will not offer or sell products or services that are prohibited by law or any of the products and services listed under Prohibited Goods and Services;
- neither you nor your business is subject to any sanctions administered by the UN Security Council or any government, including those administered by the Government of the United States of America through the Office of Foreign Assets Control (OFAC) of the United States Department of Treasury ("Prescribed Person").
Withholding and Suspension
You agree that Zoho may suspend the Services and/or withhold settlement of funds to you or reverse the Trasaction Amount to your customers in the event (i) you violate the General Terms, applicable Service Specific Terms, Card Network Rules or any applicable laws; (ii) Zoho suspects or becomes aware of any illegal or fraudulent activity taking place in your Zoho Account; (iii) Zoho reasonably determines that you or your customers have engaged in or facilitated any fraudulent activity; or (iv) any directions or order by any legal or regulatory authority requires us to do so.
Set off
You are liable to pay (i) all amounts such as charges, chargebacks, fines, penalties, taxes and any other amounts that you owe under this General Terms and applicable Service Specific Terms ("Charges"), and (ii) all costs and expenses (including attorney fees and collection agency fees) incurred by Zoho as a result of your breach of your obligation to pay applicable Charges ("Costs"). You hereby authorise Zoho to set off the Charges and Costs by deducting from the amounts payable to you or Reserves maintained with Zoho.
If Zoho is unable to recover the Charges and Costs through the above means, Zoho may (i) require you to immediately pay the Charges and Costs directly to the bank account specified by Zoho, or (ii) recover such Charges and Costs through any other permissible means.
Taxes
You are liable to pay all taxes, including Goods and Services Tax (GST), in accordance with applicable laws with respect to your use of the Services. In case you are exempted from any or all applicable taxes, you agree to provide Zoho with an appropriate original certificate or evidence of tax exemption that is satisfactory to Zoho.
Audit
Zoho, BBPCU and/or Payment Intermediaries may access your premises and audit or inspect your records and information to verify compliance with these General Terms and any Service Specific Terms. If you deny Zoho, BBPCU and/or Payment Intermediaries the opportunity to conduct an audit, or if the audit reveals a breach of these terms, Zoho reserves the right to suspend or terminate the Service with immediate effect.
Security
Zoho shall adopt and maintain all commercially reasonable physical, technical and administrative security measures to protect the information of you and your customers in accordance with the industry standards and applicable laws.
Privacy
Personal information you provide to Zoho through the Service is governed by Zoho's Privacy Policy. Your election to use the Service indicates your acceptance of the terms of the Zoho's Privacy Policy.
Trademarks
All trademarks, service marks, trade names, logos, and other identifiers (collectively, "Marks") of Zoho shall remain the exclusive property of Zoho. Unless otherwise stated in these General Terms or Service Specific Terms, you shall not display or use the Marks of Zoho without obtaining prior written consent.
Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICE IS AT YOUR SOLE RISK. ZOHO PROVIDES THE SERVICE ON AN AS-IS-AND-AS-AVAILABLE BASIS. ZOHO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. ZOHO MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR FREE OR FREE FROM VIRUSES OR OTHER MALICIOUS SOFTWARE. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM ZOHO, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY.
Limitation of Liability
IN NO EVENT SHALL ZOHO BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF THIS SERVICE OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ZOHO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL ZOHO’S LIABILITY TO YOU, IN AGGREGATE OF ALL CLAIMS ARISING OUT OF THESE TERMS, WHETHER DIRECT OR INDIRECT, EXCEED THE PLATFORM FEES RECEIVED BY ZOHO FOR THE APPLICABLE SERVICE DURING THE 3-MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THE LIABILITY AROSE.
Indemnification
You agree to indemnify and hold Zoho harmless from and against any losses, damages, claims, or actions arising out of or in connection with (i) your use of the Service; (ii) any Charges Zoho incurs on your behalf; (iii) your failure to fulfill your obligations towards your customers, including failure to properly describe or deliver goods or services; (iv) negligence, fraud and wilful misconduct of you and your agent, employee or your sub-contractors; (v) incorrect or inaccurate information provided to Zoho in connection with the Service; (vi) any violation of applicable law, Card Network Rules or regulations; (vii) unauthorized access to customer data or Transaction Data due to any hacking, breach or lapse in security of your systems; (viii) relationship between you and your customer, including disputes of any kind; (ix) your violation of third party rights, including third party proprietary and intellectual property rights; or (x) any breach of these General Terms or Service Specific Terms.
Governing Law and Jurisdiction
Any controversy or claim arising out of or relating to these General Terms and Service Specific Terms shall be settled and adjudicated exclusively by courts of Chennai in accordance with laws of India without regard to conflict of law principles.
Termination and its Effects
You may terminate these Terms at any time by closing the Zoho Account. Zoho may suspend or terminate your use of the Services in the event (i) Zoho's contract with BBPCU or Payment Intermediaries terminates; (ii) BBPCU, Payment Intermediaries or regulatory authorities instruct Zoho to suspend or terminate the Services; (iii) you are the subject of any voluntary or involuntary bankruptcy or insolvency petition or proceeding; (iv) Zoho reasonably determines that you are engaged in any activity that is in violation any applicable laws; (v) Zoho reasonably determines that your use of the Service causes or is likely to cause significant risk of reputational harm to Zoho; (vi) Zoho suspects or becomes aware of illegal or fraudulent activity is taking place in your Zoho Account; (vii) Zoho determines that there is excess risk associated with your use of Services, or (viii) of your violation of these terms.
Upon termination, you agree (i) to stop using the Service ; (ii) fulfil your payment obligations to Zoho; (iii) to remove Zoho, Payment Intermediaries and Card Networks trademarks and logos from your website, if applicable; (iv) that Zoho has the right (but not obligated) to delete your information stored in your Zoho Account; and (v) that Zoho will not be liable for any reimbursement, compensation or damages in connection with your use of the Service. You acknowledge that you will remain liable for Charges incurred by you prior to termination.
Termination of your Zoho Account does not discharge either party of its payment obligations, and each party agrees to settle the amounts it owes to the other party under these terms promptly.
In the event of termination, Zoho reserves the right to retain the Reserve (if any) for such time, as may be reasonably determined, to cover Charges and Costs that may be incurred in connection with your use of Services.
Entire Agreement
This General Terms along with Service Specific Terms, agreements, policies and regulations incorporated in this General Terms or Service Specific Terms by reference constitute the entire agreement between you and Zoho and supersedes all prior communications, understandings or agreements between the parties.
Modification of Terms
Zoho may modify General Terms and Service Specific Terms from time to time. You are responsible for periodically reviewing such terms available on the website. The modified General Terms and Service Specific Terms shall be applicable from the date they are published on the website. Your continued use of the Service after the effective date of any change to the General Terms and Service Specific Terms will be deemed to be your agreement to such modified terms.
Zoho Payments - Specific Terms of Service
Zoho Payments is a service that enables you to accept payments from your customers through multiple modes of payments such as credit cards, debit cards, netbanking and UPI ("Payment Methods"). We provide this service by partnering with financial institutions, card networks such as Visa and Mastercard ("Card Networks"), Payment Methods providers and other third parties ("Payment Intermediaries"). When you use Zoho Payments, these specific terms of service ("Zoho Payments Terms") apply to you in addition to the General Terms.
Payment Processing and Settlement
If your customer elects to make a payment to you in connection with goods or services offered by you ("Transaction"), Zoho will collect the payment from your customers for the Transactions ("Transaction Amounts") in an escrow account maintained with a scheduled commercial bank. Zoho will then settle the Transaction Amount to your Bank Account within one (01) Business Day from the date funds are received into Zoho's escrow account, after deducting applicable Charges. Zoho may impose monetary limits on the aggregate transaction volume processed on your behalf.You understand and agree that Zoho shall not be responsible for any error or delay in settlement of Transaction amount, to the extent they are attributable to banks and Card Networks.
Zoho may withhold settlement of funds to you until the expiry of the refund period provided to your customers (i) where there are pending or anticipated disputes or refunds; or (ii) in the event that Zoho suspects or becomes aware of any illegal or fraudulent activity taking place in your Zoho Account.
For the purpose of these terms, "Business Day" shall mean any day from Monday to Friday, excluding any days when scheduled commercial banks are closed for business.
Card Payment Processing
You shall accept all valid and unexpired cards presented for payment by your customer, which are supported by Zoho. You hereby represent and warrant that you will not discriminate against the use of cards in any way and you will not process card payments in order to give your customers cash.
You shall ensure that your infrastructure and systems are compliant with Payment Card Industry Data Security Standards (PCI - DSS) and Payment Application Data Security Standards (PA-DSS).
You shall, at all times, comply with rules of Card Networks (“Card Network Rules”). You understand and agree that the Card Networks may enforce any provision of the Card Network Rules against you and may prohibit you from engaging in any conduct which the Card Networks deem to injure or create a risk of injury to the Card Networks. You hereby agree not to take any action that could interfere with or prevent the exercise of this right by the Card Networks. In the event of any inconsistency between these General Terms, Zoho Payments Terms and Card Network Rules, the Card Network Rules will take precedence.
You shall display relevant trademarks or service marks of Card Networks ("Card Networks Marks") at the relevant points of sale for the limited purpose of indicating which cards are accepted for payments. You further acknowledge and agree that (i) the Card Networks are the sole and exclusive owners of Card Networks Marks; (ii) you shall not contest ownership of Card Networks Marks for any reason; and (iii) the Card Networks may, at any time, immediately and without advance notice, prohibit you from using any Card Networks Marks for any reason.
You understand and agree that in the event your annual sales (including the annual sales of any of your related entities) exceed the threshold amount set by Visa, Mastercard and other card networks ("Card Networks"), you will be required to enter into a direct contractual relationship with the members of the Card Network.
Platform Fees
Zoho will charge you a fee for provision of Zoho Payments ("Platform Fee") as per the pricing mentioned in our website or as otherwise agreed between you and Zoho. Zoho will deduct the Platform Fee from the settlement funds held on your behalf. Zoho reserves the right to increase the Platform Fee at any time without prior notice to you.
Merchant Obligations
- You shall clearly display on your website and mobile application (if applicable), through which you offer goods or services ("Platform"), (i) your name as the merchant of the goods and services, as well as the name that will appear on the cardholder statement, (ii) complete and accurate descriptions and images of all goods and services offered for sale; (iii) your privacy policy; (iv) customer grievance redressal policy, detailing the process for addressing any disputes or grievances related to the goods and services offered, including the turnaround time for resolving queries; (v) refund and cancellation policy applicable to your customers; and (vi) any other information required by applicable laws, regulations, or Card Network Rules.
- You shall provide a clear indication to your customers that they are committing themselves to a Transaction before they proceed to make payment and shall also provide them with an option to cancel the payment as an alternative to making the payment;
- If the price displayed to a customer for a chosen payment method is not applicable to all accepted methods of payment then, you shall, prior to accepting the Transaction, display a statement that clearly explains any Payment Method to which the indicated price does not apply. Additionally, you must show the price difference either as a specific amount or as a percentage;
- You shall not split a Transaction into multiple Transactions;
- You shall not submit any Transactions for processing which you know or ought to have known to be illegal, fraudulent or unauthorized by the customer. You shall also cooperate with Zoho in investigating any such suspected illegal, fraudulent or unauthorized Transactions.
- You shall not impose any minimum or maximum limit on the value of the Transactions;
- You shall not require your customers to waive their rights to dispute a Transaction;
- You shall not collect, store or save any Payment Method information of your customer, including but not limited to their card details, banking credentials, passwords, PIN and OTP;
- You shall ensure the privacy and security of your customer's data and all data relating to the Transaction ("Transaction Data") by implementing appropriate technical and organizational measures and in accordance with requirements under applicable laws. You shall immediately report to Zoho in writing of any suspected or actual security incident and shall cooperate with Zoho in investigating and remediating such incident.
- In case you dispatch goods to your customers, you shall first verify the address to which the goods are to be dispatched and ensure that the address is correct. You shall also be responsible for informing your customers about the estimated delivery time and if the goods are unavailable at the time of dispatch, you must notify your customers promptly and reconfirm their orders;
- You shall maintain copies of all records related to Transactions, including but not limited to, receipts, invoices and proof of delivery ("Transaction Records") in a safe, secure and confidential manner. These Transaction Records shall be retained for a period of two (2) years from the date of the relevant Transaction. In the case of recurring Transactions, the Transaction Records shall be retained for a period of two (2) years from the date of last Transaction that forms part of the recurring Transaction. Upon Zoho's request, you shall promptly furnish the required Transaction Records.
- You shall periodically conduct security assessments of your Platform and systems. Upon Zoho's request, you shall promptly provide copies of these reports to Zoho;
- You shall comply with (i) rules, regulations, policies, directions, and instructions of Payment Intermediaries, as applicable to you or may be communicated to you from time to time;
- you shall not (i) describe yourself as an agent or representative of Zoho or the Payment Intermediaries; and (ii) make any representations or give any warranties to your customer or any third party which may obligate Zoho or Payment Intermediaries to assume liability to your customers or any third party.
- you shall ensure that your products or services are not mistaken or misrepresented as being associated with or offered by Zoho or the Payment Intermediaries;
- You shall not display or use the Marks of Payment Intermediaries in any manner without obtaining prior written consent from Zoho and/or the relevant Payment Intermediaries.
- You are solely liable for GST, surcharges, and other applicable taxes imposed by any governmental authorities in relation to payments collected through Zoho Payments for the goods and services offered by you. It shall be your responsibility to assess, collect, report, or remit applicable taxes in all relevant jurisdictions.
- You shall refrain from any actions that could harm or in any way affect Zoho or Payment Intermediaries. Additionally, you shall not engage in any activities with malicious intent to deceive customers or to sell or offer counterfeit products.
Chargebacks
You are solely liable for chargebacks raised by your customers. Upon receipt of a chargeback request, Zoho will notify you of such request. In the event you decide to dispute a chargeback request, you shall provide the required information and documentation in support of your claim promptly upon receiving the chargeback request. If you do not provide adequate information promptly, you may be not be able to dispute a chargeback. In the event the dispute is resolved in your favor, the chargeback amount will be returned to you. You understand that neither Zoho nor Payment Intermediaries are a party to the chargeback dispute process and assume no liability in connection with such process. With respect to chargebacks, you understand the decision of the relevant Payment Intermediary is final. Zoho reserves the right to withhold payments to you in case there are pending, anticipated or excessive chargebacks relating to your use of Zoho Payments. You shall indemnify, defend and hold Zoho harmless from any claims, disputes, penalties, costs and expenses arising out of chargebacks raised in connection with your use of Zoho Payments.
Withholding, Suspension and Rejection of Transaction
In addition to Zoho's rights under General Terms, Zoho may withhold settlement of funds, reverse the Transaction or suspend Zoho Payments if (i) you are involved in offering Prohibited Goods and Services, (ii) chargeback rates taking place in your Zoho Account exceed the limits acceptable to Zoho, or (iii) Payment Intermediaries instructs Zoho to do so.
Zoho may reject any Transaction initiated by your customer for reasons such as (i) incorrect or inaccurate payment information provided by such customer, (ii) Transaction taking place using a Payment Method that is outside the authorized territory authorized for its usage, or (iii) rejection of customer's Payment Method by Payment Intermediaries.
Unauthorized Transactions
Where it is reported by your customer that funds have been debited without authorization with respect to a Transaction ("Unauthorized Transaction"), Zoho may suspend payment in respect of such Transaction to you until such time the investigations or enquiries related to such Unauthorized Transaction is complete. Upon completion of investigations and enquiries, if it is determined that Transaction is unauthorized, Zoho will deduct the amount corresponding to such Unauthorized Transactions from the settlement funds held on your behalf. Any such amount deducted will be refunded to the source account from which it was originally received.
Penalties and Fines
You are liable for penalties and fines that are imposed on you or on us by Payment Intermediaries or regulatory authorities arising in connection with your use of the Zoho Payments.
Refunds
You may initiate a refund for a Transaction for reasons such as customer cancelling a Transaction and product being out of stock, provided sufficient funds are available for settlement to you. Refunds initiated by you shall be routed to the Payment Method through which the Transaction was processed. Platform Fee incurred by you for the Transaction will not be refunded to you and you will also be liable for any fees or charges associated with the refund.
Reserves
Zoho may require you to deposit a specified amount as reserve ("Reserve") to cover existing and potential chargebacks, refunds, fines, and other payment obligations owed or that may become owed to us. The amount of the Reserve, the duration for which it must be maintained, and other applicable terms will be determined by Zoho based on factors such as your transaction history, the type of goods and services you offer, and your chargeback ratio.
Bharat Connect Bill Payment and Collection Facility - Terms of Service
Zoho Payment Technologies Private Limited ("Zoho") is an authorized Bharat Bill Payment Operating Unit ("BBPOU") that facilitates transactions through the Bharat Connect Bill Payment System ("Bharat Connect System"). We have partnered with Zoho Corporation Private Limited ("Agent Institutions") to offer you a facility that allows you to send invoices and collect payments from your customers, make payments to your billers, and access other services supported by Bharat Connect System ("Facility"). When you use this Facility, these Bharat Connect Bill Payment and Collection terms ("Bharat Connect Facility Terms") apply to you in addition to General Terms.
Registration and On-boarding
To avail the Facility, you must first register with Zoho as a user and complete the onboarding process by providing required information related to you and the business you represent ("Information"). Zoho will use the Information to verify your identity and perform the necessary Know Your Customer (KYC) procedures. Upon successful completion of the KYC, you will be onboarded with Zoho and the Facility will be made available to you.
Zoho may deny onboarding if (i) the Information you provide is incorrect or incomplete, (ii) you are involved in selling of prohibited goods or services, or (iii) directed by NPCI Bharat Bill Pay Central Unit ("BBPCU") to do so.
Invoice Delivery and Payment Collection
The Facility allows you to deliver invoices to your customers through the agent institution or the operating unit with which the customer is registered.
Upon receipt of an invoice, your customer may either accept or reject the invoice, and any such action will be communicated to you through the Agent Institution. When your customer makes a payment towards an invoice, the payment amount will be collected in our escrow account and subsequently credited to your designated bank account linked with us. We will settle the funds held in the escrow account in accordance with the BBPCU guidelines.
You shall (i) ensure the accuracy and completeness of all invoice-related information submitted through the Facility, (ii) not submit any transactions that are fraudulent or otherwise illegal, and (iii) handle and resolve any disputes, refunds, or other claims raised by your customers in connection with invoices, bills and transactions submitted through the Facility.
Bill Payment
The Facility allows you to view bills raised by your suppliers and make payments towards those bills using any of the supported payment methods. Any payments made will be routed through our escrow account and then credited to the supplier’s bank account. Zoho shall not be liable for any errors or delays in processing or settlement of funds to suppliers, to the extent they are caused by BBPCU, or banks, other financial intermediaries.
It shall be your responsibility to verify the accuracy of the bills before making payments. In case of any discrepancies, you may reach out to relevant suppliers to resolve them. Zoho shall not be liable for any loss that you may incur due to any errors or discrepancies in the bills presented through the Facility.
Indemnification
You shall indemnify, defend, and hold Zoho harmless from and against any liability or damages incurred by Zoho as a result of any claims, actions, or proceedings instituted by a third party, including BBPCU and other regulatory authorities, arising from or in connection with your use of Facility.
Disclaimer
You understand that BBPCU and other financial intermediaries are involved in providing the Facility. Zoho shall not be responsible for any loss or liability you may incur due to any error, failure, delay, or unavailability of the Facility, to the extent they are attributable to BBPCU or other financial intermediaries.
User Obligations
- You shall use the Facility only for lawful purposes and shall comply with applicable laws, including guidelines issued by BBPCU.
- You shall, promptly upon our request, provide us with necessary information and records as may be required (i) to assess your compliance with this terms; (ii) by Zoho to comply with requirements under applicable law, directions of BBPCU or other regulatory authorities.
- You shall not undertake any transactions through Bharat Connect System using any trade name or other business identity that is (i) not registered under your name, or (ii) already registered with BBPCU by a different entity.
Withholding and Suspension
Zoho may suspend your use of Facility, withhold settlement of funds or reject any transactions initiated through the Facility in the event (i) you violate any of these terms; (ii) the number of disputes in respect of transactions initiated through the Facility exceed the limit acceptable to Zoho; (iii) Zoho receives any instructions from our escrow bank, BBPCU or other financial intermediaries to take such action.
