Electronic Signature under the law

In Kuwait, electronic signatures are legally accepted and enforceable under the provisions of the Electronic Transactions Law No. 20 of 2014 (ETL). The law defines two types of electronic signatures:

  • Simple Electronic Signature
  • Protected Electronic Signature

What is an Electronic Signature?

An Electronic Signature is any data, such as letters, numbers, symbols, signs or other forms, that is linked to or associated with an electronic document or record. This data is used to identify and distinguish the person signing the document.

What is a Protected Electronic Signature?

A Protected Electronic Signature is a more secure form of Electronic Signature that meets specific criteria:

  • It identifies the signer.
  • It is uniquely linked to the signer.
  • It is created using a secure signature tool that only the signer can control during the signing process.
  • It detects any changes made to the document or the connection between the data and the signer.

The Executive By-law (ER) of the ETL outlines the technical requirements for a Protected Electronic Signature. These controls ensure the security and reliability of the signature.

When relying on a Protected Electronic Signature, it is essential for the party to confirm its authenticity. This requires using electronic signature verification data in accordance with the procedure specified in Article 5(3) of the Executive Regulations (ER).

Legal standing of E-Signatures in Kuwait

A Protected Electronic Signature holds the same legal validity as a handwritten signature in civil, commercial, and administrative transactions.

Digital Signature certificate

A Digital Signature Certificate or Electronic Authentication Certificate is a document issued by a licensed authority that verifies the authenticity of an Electronic Signature. It confirms that the signature belongs to a specific individual and establishes a link between the signer and the signature creation data, following accredited authentication procedures.

These certificates are provided by Certification Service Providers licensed by the competent authority. Authentication or Certification Service Providers are individuals or legal entities authorised or licensed by the Competent Authority to issue electronic authentication certificates, provide related services, and perform tasks associated with Electronic Signatures.

Top use cases for Electronic Signatures

While the law does not explicitly outline specific use cases for electronic signatures, they are generally accepted for a wide range of applications, including:

  • Contracts
  • Employment agreements
  • Business transactions
  • Financial transactions

The law permits the government entities to use Electronic Signatures for the following:

  • Handling documents electronically, including their submission, creation, deposit, and storage
  • Issuing electronic permits, licences, decisions, and approvals
  • Accepting electronic payments, such as fees and other transactions
  • Managing government tenders electronically, including offering them and receiving offers electronically

Legal exceptions for Electronic Signatures

  • Transactions involving personal status, endowments, and wills
  • Real estate title deeds and associated original or derivative property rights
  • Promissory notes and negotiable instruments such as bills of exchange
  • Any situation where the law specifically requires a written document, formal documentation, or compliance with specific legal provisions in another law

Recognition of Foreign Electronic Signatures in Kuwait

The competent authority in Kuwait may approve foreign authorities responsible for issuing electronic authentication certificates. Once approved, these certificates will hold the same evidentiary value as those issued by local certification providers, in accordance with the rules and procedures outlined in the Executive Bylaw.

Currently, Kuwait does not recognise any foreign certification service providers.

Time Stamping: Ensuring accuracy in digital transactions

A Time Stamp is a service provided by an authentication service provider that records the exact date and time when an electronic document or message is created, sent, or received. This serves as reliable evidence for all parties involved.

When an authentication service provider adds a Time Stamp to an electronically signed document or record, it serves as evidence of the document's creation, transmission, or receipt date and time.
