Accessing Zoho ERP
Zoho ERP is part of Zoho's suite of online collaboration, business and productivity applications (hereinafter "Zoho Services"). You will be able to access Zoho ERP by using your common account for all Zoho Services (hereinafter "Zoho Account").
Accessing other Zoho Services
Other Zoho Services may be integrated with Zoho ERP Your Zoho Account will also allow you to access: (i) Zoho Services integrated with Zoho ERP and (ii) other Zoho Services not integrated with Zoho ERP. Use of some of these Zoho Services may require acceptance of the terms of service specific to such Zoho Services (hereinafter "Service Specific Terms"). You shall read, understand, and accept the Service Specific Terms before using the corresponding Zoho Services.
Access Control
Zoho ERP allows you to configure role-based access control for each module. You understand and agree that you are solely responsible for (i) assigning appropriate privileges to users within your organization; (ii) managing the user privileges, including their timely revocation upon a user's change in status or termination; and (iii) any actions or omissions of the user.
Online Store
Customer Responsibility
Zoho ERP facilitates the creation and management of branded storefronts, product catalogs and checkout experiences ("Online Store"). You are solely responsible for all content that you upload to your Online Store including but not limited to product descriptions, contact information, images, logos, prices, and policies (“Store Content”), and for the accuracy, legality, and timeliness of such Store Content. You are also solely responsible for managing the operations of your Online Store, including order fulfillment, cancellations and returns, and customer support, and publishing all legally required customer terms and policies. Zoho is not liable for your products or services, and will have no obligation to settle disputes between you and your customers.
Prohibited Goods and Services
You must not use your Online Store to promote, market, offer, or sell any goods or services that are listed under Prohibited Goods and Services, failing which Zoho reserves the right to suspend or terminate your access to Zoho ERP.
Right to Monitor
Zoho reserves the right to monitor the goods or services offered, or the Store Content to determine if such offering or content is in violation of the Terms or Zoho General Terms of Service. If Zoho determines that there has been a violation of the Terms or Zoho General Terms of Service, Zoho may suspend or terminate your access to Zoho ERP.
Images
The images that are used in the themes for creating the Online Store are licensed by Zoho from the copyright owners of such images. These images are permitted to be used only on the Online Store created using Zoho ERP and are provided as is and as available. You are required to obtain permission from the respective copyright owners before you exploit the images in any other manner.
Payroll
If Zoho ERP offered in your country includes a payroll module, you understand and acknowledge that only the software product and no payroll services are offered to you and that: (i) you have the responsibility of uploading documents and providing information necessary for payroll calculations and processing, including relevant information and forms that were created prior to your use of Zoho ERP payroll module for your organization; (ii) you have the responsibility of ensuring that such documents and information provided are accurate, complete and reliable; and (iii) you have the responsibility of ensuring compliance with applicable employment laws, such as minimum wage, overtime, pay frequency, and the classification of workers.
You acknowledge and agree that (i) any information or materials provided, directly or indirectly, through the payroll module must not be construed as a legal, tax, accounting, or other professional advice; and (ii) your use of the Zoho ERP payroll module does not relieve you of any payroll, tax, reporting, or other compliance obligations under applicable laws and regulations.
Email Policy
Zoho ERP allows you to send emails to your customers for transactional purposes. We advocate genuine use of email. If your bounce rate exceeds specific thresholds, Zoho may prevent you from sending further emails. Additionally, you shall, at all times, remain compliant with our Anti-Spam Policy.
In order to ensure our systems are free from illegal activity and ensure better deliverability to our customers, we may monitor email sent through Zoho ERP using automated tools. On detecting a violation of these Terms, Zoho's General Terms or our Anti-Spam Policy, we may: (i) suspend your use of email features or (ii) terminate your service.
Compatibility with Third-Party Hardware
You are solely responsible for procuring, configuring, and maintaining third-party hardware, peripherals, and accessories used with Zoho ERP, including without limitation barcode scanners, weighing machines, printers, cash drawers, payment terminals, and related firmware or drivers (collectively "Third-Party Hardware"). You must, before integrating with Zoho ERP and on an ongoing basis, verify that the Third-Party Hardware is compatible with Zoho ERP. You understand and agree that Zoho is not obligated to modify Zoho ERP to achieve compatibility with any Third-Party Hardware, and shall not be responsible for any errors, delays, or failures arising from or relating to such ThirdParty Hardware.
Receipt Parsing
To ensure the accuracy of the data extracted from receipts that you submit using Zoho ERP, your receipts may be subjected to automated and/or human verification. The human verification is carried out by our personnel in India who are subject to strict background verification as well as confidentiality obligations to keep your data safe and secure.
Usage Limits
Zoho may prescribe usage limits based on the subscription plan chosen by you. You must make sure that your usage is within the usage limits prescribed by Zoho in order to avail uninterrupted service. You understand that Zoho may restrict an activity if you reach the usage limit corresponding to such activity.
Terms of use for API
Integration of Zoho ERP with Third Party Applications using APIs provided by Zoho requires technical skill. You understand that errors or defects in the integration may cause loss and corruption of data. You must make sure that you use the services of technically skilled persons for the integration. You agree that Zoho is not liable for any loss and corruption of data caused due to errors or defects in the integration.
You must not try to access any functionality that is not exposed in the documentation for the API. You understand and agree that Zoho will not be liable for the consequences of accessing or using any unexposed functionality of the API.
API Usage Limits
Zoho may prescribe usage limits, including limits on the number of calls, number of records per call, bandwidth usage and frequency of calls. You are required to adhere to the usage limits prescribed by Zoho in order to avail uninterrupted service. You understand that Zoho may restrict an activity if you reach the usage limit corresponding to such activity and that an API call may either fail or be partially executed if the usage limits are reached before or during an API call.
API Deprecation
Zoho, in its discretion, may cease providing the current version of the API either as a result of discontinuation of the API or upgradation of the API to a newer version. In both cases, the current version of the API will stand deprecated and become the deprecated version of the API (hereinafter "Deprecated Version"). When Zoho decides to deprecate the current version of the API, You will be informed about such deprecation through a service announcement. For a period of six months following announcement of deprecation (hereinafter the "Deprecation Period"), Zoho will use commercially reasonable efforts to support the Deprecated Version. You understand that Zoho is not obliged to provide the features of the newer version in the Deprecated Version.
Zoho in its discretion may cease supporting the Deprecated Version during the Deprecation Period if i) Zoho is required to do so by law or ii) You have breached any provision of these Terms or the General Terms of Service or iii) Zoho determines that supporting the API is likely to result in a security risk to Zoho.
Modification of Terms of Use
Zoho reserves the right to modify Zoho ERP Terms of Use. Modifications to the Terms of Use are effective upon your use of Zoho ERP subsequent to publication of such modification.
