Zia Agents Store - Terms of Use

ZIA AGENTS STORE IS PROVIDED TO YOU BY THE APPLICABLE ZOHO CONTRACTING ENTITY LISTED HERE (“ZOHO”), ACCORDING TO THE FOLLOWING TERMS AND CONDITIONS IN ADDITION TO ZOHO TERMS OF SERVICE (“TERMS”). USE OF ZIA AGENTS STORE SIGNIFIES YOUR ACCEPTANCE OF THE TERMS. IF YOU DO NOT AGREE TO THE TERMS, DO NOT PROCEED.

The Service

Zia Agents Store is a service that lets you to browse, locate or purchase AI agents created for use in connection with Zoho Services ("AI Agents"). The AI Agents on Zia Agents Store are either developed by the Zoho Developer Community consisting of independent third party developers (“Developers”), or by Zoho.

Your Use of Zia Agents Store

  1. You understand that Zoho does not have any kind of affiliation with the Developers and AI Agents provided by Developers are subject to the terms and conditions, privacy policy, and other policies of the Developers.
  2. You understand that Zoho does not endorse the skill or ability of any Developer with respect to the AI Agents posted on Zia Agents Store. You are solely responsible for determining the fitness, reliability, safety or quality of the AI Agents for your purpose.
  3. You understand that Zoho makes no representations or warranties regarding the performance, reliability, quality, safety or suitability of AI Agents made available in the Zia Agents Store for any particular use case, or any content generated or actions taken by any AI Agents.
  4. Zoho does not warrant that AI Agents posted on Zia Agents Store or content generated by these AI Agents will be free from intellectual property right infringement claims. You are solely responsible for reviewing any AI-generated content to ensure it does not violate third-party rights. However, Zoho will not claim any intellectual property rights in content generated by any AI Agents or in AI Agents posted by Developers on Zia Agents Store.
  5. You understand that Zoho does not assume any obligation to provide technical assistance related to the AI Agents posted on Zia Agents Store. You are solely responsible for entering into a suitable support agreement with the Developer.
  6. You agree not to copy or otherwise distribute the licensed AI Agent, its prompts, instructions or its workflow scripts unless permitted to the contrary by the license granted by the Developer.
  7. You agree that you are solely responsible for payment of all fees associated with your purchases on Zia Agents Store.
  8. From time to time Zoho may remove AI Agents that violate Zoho policies or other legal agreements, laws or regulations. You understand that in such instances you may lose access to such AI Agents and that Zoho is not liable to you or to any third party for such removal of AI Agents.
  9. You understand that Zoho may discontinue Zia Agents Store upon ninety (90) days prior written notice. Upon expiry of the notice period, you will be prevented from accessing the Zia Agents Store.
  10. You agree to comply with any and all applicable laws in connection with your use of the Zia Agents Store including how you use and deploy AI Agents.

Warranty Disclaimer

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF ZIA AGENTS STORE AND ANY AI AGENTS OBTAINED THROUGH ZIA AGENTS STORE WILL NOT BE UNINTERRUPTED OR ERROR-FREE. SUBJECT TO APPLICABLE LAWS AND EXCEPT AS PROVIDED HEREIN, ZIA AGENTS STORE IS FURNISHED “AS IS” WITHOUT WARRANTY OF ANY KIND, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF ZIA AGENTS STORE AND ANY AI AGENTS OBTAINED THROUGH THE USE OF ZIA AGENTS STORE IS AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE DEVICE, OR OTHER DEVICE, OR LOSS OF DATA THAT RESULTS FROM SUCH USE. TO THE FULL EXTENT ALLOWED BY APPLICABLE LAWS, ZOHO HEREBY DISCLAIMS LIABILITY FOR ANY DAMAGES OR LOSSES ARISING FROM YOUR USE OR DEPLOYMENT OF AI AGENTS.

Violation of Terms

Zoho may suspend or terminate your access to Zia Agents Store in the event of a violation of the Terms. Zoho also reserves the right to initiate appropriate legal action against you in the event of such violation.

Modification of Terms

We may modify the Terms upon notice to you at any time through a service announcement or by sending email to your primary email address. If we make significant changes to the Terms that affect your rights, you will be provided with at least 30 days advance notice of the changes by email to your primary email address.

You may terminate your use of the Zia Agents Store by providing Zoho notice by email within 30 days of being notified of the availability of the modified Terms if the Terms are modified in a manner that substantially affects your rights in connection with use of the Zia Agents Store. Your continued use of the Zia Agents Store after the effective date of any change to the Terms will be deemed to be your acceptance to the modified Terms.

License for Free AI Agents posted on Zia Agents Store

COPYRIGHT HOLDERS AND CONTRIBUTORS HEREBY GRANT YOU A NON-EXCLUSIVE, NON-TRANSFERABLE, WORLDWIDE LICENSE TO USE THE AI AGENT (EXCEPT ANY CONTENT GENERATED BY ANY AI AGENTS), SUBJECT TO THE FOLLOWING TERMS:

  • YOU SHALL NOT COPY, REPRODUCE, DISTRIBUTE OR OTHERWISE COMMERCIALLY EXPLOIT THE AI AGENT.
  • YOU AGREE THAT THIS AI AGENT IS PROVIDED TO YOU BY THE COPYRIGHT HOLDERS AND CONTRIBUTORS "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT SHALL THE COPYRIGHT OWNER OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS AI AGENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
