We have updated the Zoho Start Terms of Service to reflect new service offerings and recent regulatory developments. Below is a summary of the key changes.
This document covers only the significant changes in the Zoho Start Terms of Service (henceforth "Zoho Start Terms") and is intended to explain the reasons for the changes. You understand that reading this document is not a substitute for reading the modified Zoho Start Terms. Please do read the full text of the revised Zoho Start Terms.
1. We have included two sub-sections titled "Non-Resident and Foreign Business Formation" and "Foreign Investment Compliance" under the "Business Formation and Incorporation Service" section. The sub-sections clarify that you are solely responsible for complying with all legal requirements for business formation, including residency and foreign investment laws.
2. We have added a new section titled "Registered Agent" that elaborates your responsibility to appoint and maintain Registered Agent for your entity. This section also clarifies Zoho's limited role and liability if we receive legal documents on your behalf.
3. Pursuant to the interim final rule issued by FinCEN in March this year, we have modified the scope of "FinCEN Identifier" section to apply to those foreign reporting companies to which the BOI reporting requirements are currently applicable.
4. We have added a new section titled "Annual Report Filing Service" that outlines your responsibilities and Zoho's limited liability for this service.
5. The new “Acknowledgments on Customer’s Behalf” section clarifies your responsibility to provide true, accurate, and complete information when Zoho acts or certifies on your behalf.
