Zoho Feedback Loop Terms of Service
ZOHO Corporation ("Zoho") hosts and provides a suite of online business productivity and collaboration software services ("Services"). Some of the Services allow users to receive emails. Zoho provides its users a spam email reporting feature for the purpose of receiving spam email feedback ("Feedback"). You or the company you represent (hereinafter "You or Your") may subscribe to receive Feedback with respect to emails originating from the IP address registered by You subject to the following terms (the "Agreement").
No Obligation
Zoho may, at its sole discretion, provide You with the Feedback. Zoho is neither under the obligation to provide Feedback to You, nor to provide particular subset of the Feedback. You agree that our spam reporting feature is not a whitelisting program, and your participation does not mean that Zoho is obligated to treat emails sent from your IP address in any particular manner. Zoho may choose to discontinue providing Feedback to You at any time without notice to You.
Information handling process
You agree that You will treat the Feedback and the contents of the Feedback as confidential information that is owned by Zoho and use the information solely for the purpose of reducing the occurrence of spam. You shall not disclose the Feedback to any person or entity except in the following circumstances:
- i) to Your employees and contractors who have a need to know, provided that You assume responsibility for the acts and omissions of such employees and contractors;
- ii) if You send emails on behalf of third parties ("Email Customers") and You wish to provide Feedback to the Email Customers with respect to such emails, provided that such Email Customers are bound by confidentiality obligations to You that are at least as protective of Zoho as the terms of this Agreement;
- iii) to appropriate judicial bodies or governmental agencies for the purpose of investigating or prosecuting fraud if You reasonably believe that one or more emails contained in the Feedback is/are fraudulent in nature, provided that You remove any information identifying the recipients of such emails prior to such disclosure.
Legitimate Emails
If You determine that any Feedback is a legitimate e-mail that was inadvertently included in the Feedback, then You shall discard each occurrence of such Feedback.
Limitation of Liability
You understand and expressly agree that Zoho and its affiliates will not be liable to You for any direct, indirect, special, incidental, punitive, exemplary or consequential damages, or damages for intangible losses including loss of business profits arising from the use or inability to use the Feedback even if such party has been advised of the possibility of such damages.
Indemnity
You agree to indemnify, defend and hold Zoho and its affiliates harmless from and against any and all claims, actions or proceedings, arising out of Your use of the Feedback, Your violation of this Agreement or any applicable law or regulation.
Termination
This Agreement is effective until terminated by either party. You may terminate this Agreement at any time by choosing the appropriate option in the user interface. The provisions relating to confidentiality, limitation of liability and indemnity shall survive the termination of this Agreement.
General
This Agreement shall be construed, interpreted and governed by the laws of the State of California without regard to its conflict of laws provisions. The parties irrevocably submit to the jurisdiction of courts located within Alameda County, California and waive any claim with respect to inconvenience thereof. This Agreement constitutes the entire agreement between the parties. If any part of this Agreement is found invalid or unenforceable, the remainder shall be interpreted so as to reasonably effect the intention of the parties.
