Terms and Conditions for Bank and Card Feed Services

Zoho has partnered with third-party service providers to provide customers of Zoho Books, Zoho Expense and Zoho Spend (collectively "Zoho Finance Products") with a facility to link their bank accounts and/or cards and import the transaction feeds into their respective Zoho service (the "Facility"). Your use of the Facility is subject to the terms and conditions applicable to the specific third-party provider you choose. By accessing or using the Facility, you or the entity you represent ("you" or "your") agree to be bound by these Terms and Conditions for Bank and Card Feed Services ("Terms"). If you do not agree these Terms, do not proceed to access or use the Facility.

ASTRADA SERVICE:

To the extent you use Astrada to link Payment Card Network(s) with Zoho Spend or Zoho Expense in order to avail the Facility, the following terms apply:

  1. DEFINITIONS

    • "Company" means a legal entity agreeing to these Terms
    • "Eligible Payment Card" means any Visa or Mastercard credit or debit card in Your name, which is eligible to become a Linked Card, as determined by Astrada and Visa and/or Mastercard from time to time; and, which is specified by You in the Facility as your "Linked Card" at the time of making the purchase. You can refer to this link to know more about the ineligible payment cards.
    • "Linked Card" means an Eligible Payment Card which is linked to the Facility.
    • "On-Us Transaction" means the transaction where the acquiring bank of the merchant and issuing bank of the Linked Card enrolled by the User or the Company to make a transaction are the same entity, and the transaction is settled outside of the Payment Card Network(s).
    • "Payment Card Network(s)" means and includes Visa and Mastercard.
    • "Transaction Data" means the data supplied by a Payment Card Network(s) relating to a transaction and includes the last 4 digits of PAN (Primary Account Number), MCC (Merchant Category Code), authorization code, merchant location, card token, currency, authorization and settlement date and time, and amount paid.
    • "User" means an individual agreeing to these Terms
    • "You" and/or "Your" means the User or the Company agreeing to these Terms, as applicable.
  2. Astrada facilitates the provisioning of the Transaction Data to Zoho by linking the Payment Card Network(s) with Zoho Expense or Zoho Spend platform.
  3. In order to enrol the Eligible Payment Card through the Facility, You will be required by Astrada to provide Your Eligible Payment Card details such as 16 digit PAN (Primary Account Number), expiry date and country of issue ("Card Details").
  4. By enrolling the Eligible Payment Card through the Facility, You authorize Zoho to share Your Card Details with the Payment Card Network(s) so that the Payment Card Network(s) are aware that You are using the Facility through Zoho. You authorize the Payment Card Network(s) to monitor Your transactions made using the Linked Card and share the Transaction Data with Astrada and Zoho (through Astrada), in order to enable Your usage of real time transaction data for all transactions made on the Linked Card. Further, You authorize Zoho to process the Transaction Data received from Astrada to provide You the services through the Facility. You may opt-out of the Facility by reaching out to Zoho at support@zohoexpense.com/ support@zohospend.com.
  5. For Eligible Payment Cards enrolled via bulk enrolment:
    1. As a Company, you agree to obtain prior written consent from your User, as recognized under applicable law for authorizing Payment Card Networks to access and share your User's Transaction Data with Zoho and for you to participate in the Facility. Further, upon Zoho's request, you shall promptly provide proof of such written consent obtained from your User.
    2. As a User, you agree that your Company has obtained a prior written consent, in accordance with applicable law, from you as a cardholder of an Eligible Payment Card. This consent authorizes Payment Card Networks to access and share your Transaction Data with Zoho and your Company to facilitate your participation in the Facility.

  6. TRANSACTION DATA

    • Notwithstanding anything to the contrary in the Terms or Privacy Policy of Zoho, Zoho's third party service providers (including Astrada) will use Transaction Data solely as follows:
      1. To create a record of the Transaction Data and thereafter maintain and use data in connection with operating the Platform;
      2. To provide information in order to respond to a request from government authority or a payment organization involved in a transaction with You or a merchant.
    • You authorize the sharing, exchange and use of Transaction Data described above and herein by and among Zoho, its third party service providers and applicable Payment Card Network(s).
    • Zoho will delete the Transaction Data that it has received from Astrada, promptly after providing You the services through the Facility.
  7. The Card Details that You provide to Astrada through the Facility and the Transaction Data collected by Astrada from the Payment Card Network(s) will be processed by Astrada in accordance with Astrada Privacy Policy.
  8. You acknowledge and agree that the Payment Card Network(s) may not be able to monitor every transaction made using Your Linked Card, including On-Us Transaction ("Unsupported Transactions"). Such Unsupported Transactions will be determined by the Payment Card Network(s) and/or Astrada and may be modified from time to time.   9. The Facility is provided to You on an "AS-IS" and "AS AVAILABLE" basis. Neither Zoho nor the Payment Card Network(s) makes any warranty that the Facility or any result obtained from the Facility will (i) be accurate; (ii) meet Your requirements; or (iii) uninterrupted, secure, timely or error free.
  10. Neither Zoho nor the Payment Card Network(s) shall be liable for any damages (direct or indirect) that You may suffer in connection with (i) Astrada's use of Card Details and Transaction Data; or (ii) Your use or inability to use the Facility.
  11. You shall defend, indemnify and hold harmless Zoho, its officers, directors, shareholders, employees, Payment Card Network(s) and Astrada from and against all claims, suits, proceedings, losses, liabilities, and expenses, whether in tort, contract, or otherwise, that arise out of or relate to, including but not limited to attorney's fees, in whole or in part, arising out of or attributable to Your breach of these Terms or any activity by You in relation to the Facility.
  12. Zoho reserves the right to temporarily or permanently disable the Facility without any prior notice.
  13. Zoho may modify these Terms or the Facility, from time to time, with or without notice.

PLAID SERVICE:

To the extent you use Plaid to avail the Facility, the following terms and conditions govern your use of the Facility:
  1. To use the Facility, you may be required to submit the access credentials of your bank account ("Access Credentials") and/or link the card(s) associated with such bank account through Plaid. You understand that your Access Credentials are provided directly to Plaid, and Zoho does not collect, store, or have access to the Access Credentials.
  2. Plaid may collect and process information relating to your bank account, such as account number, balance, transaction feeds, and/or card transaction details ("Transaction Data") in connection with your use of Facility. You understand that Plaid will process your Access Credentials and Transaction Data in accordance with its privacy policy, available at: https://plaid.com/legal/#end-user-privacy-policy.
  3. By enabling the Facility, You authorize Zoho to collect the Transaction Data from Plaid and process the Transaction Data to provide the Facility.
  4. You must use the Facility only for lawful purposes and in accordance with applicable laws and regulations.
  5. Zoho disclaims any warranty that the Facility or any information obtained in connection with your use of the Facility will (i) be accurate or complete; (ii) meet your requirements; or (iii) uninterrupted, secure, timely or error free.
  6. You understand and agree that Zoho will not be liable for any loss, damage or liability that you may incur arising from or in connection with (i) Plaid's processing of Access Credentials and Transaction Data; (ii) your use of the Facility; (iii) any interruption, delay or unavailability of the Facility.
  7. Zoho may suspend, disable, or discontinue the provision of the Facility, at any time, with or without prior notice to you.

YODLEE SERVICE:

To the extent you use Yodlee to avail the Facility, the following terms and conditions govern your use of the Facility:
  1. Data Collection and Processing by Yodlee. When you request data from a source ("Data Source") for availing the Facility, Yodlee collects that data and provides it to us. Yodlee acts on our behalf in this process, which means we share your data with Yodlee as one of our service providers. For more information on how Yodlee collects, uses, stores, and handles your data please see Envestnet | Yodlee's FastLink Terms of Service. If you accept these Terms, the then-current version of these Terms along with Yodlee's FastLink Terms shall apply each time you access or use the Facility.
  2. Provide Accurate Information. You must provide true, accurate, current and complete information about yourself and your accounts maintained with financial institution and you agree not to misrepresent your identity or your account information. You agree to keep your account information up to date and accurate.
  3. DATA SOURCE CREDENTIALS.
    • YOU PROVIDE LOG-IN CREDENTIALS ("CREDENTIALS") TO YOUR DATA SOURCE ACCOUNTS AT YOUR OWN RISK.
    • BY USING THE FACILITY YOU AGREE THAT (i) THE DATA SOURCES THAT MAINTAIN YOUR ACCOUNTS, (ii) ZOHO, (iii) YODLEE, AND (iv) ANY THIRD PARTIES THAT INTERACT WITH YOUR CREDENTIALS OR ACCOUNT DATA IN CONNECTION WITH PROVISION OF THE FACILITY ARE NOT LIABLE FOR ANY LOSS, THEFT, COMPROMISE, OR MISUSE WHATSOEVER (INCLUDING NEGLIGENCE), EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.
    • DATA SOURCES MAKE NO WARRANTIES OF ANY KIND RELATED TO THE DATA PROVIDED THROUGH THE FACILITY - WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. EXCEPT FOR PDFs OF OFFICIAL ACCOUNT DOCUMENTS WE RETRIEVE ON YOUR BEHALF AND PROVIDE TO YOU WITHOUT ALTERATION, NO DATA PROVIDED THROUGH THE FACILITY IS AN OFFICIAL RECORD OF ANY OF YOUR ACCOUNTS.
  4. Proprietary Rights. You are permitted to use content delivered to you through the Facility only for lawful purposes. You may not copy, reproduce, distribute, or create derivative works from this content. Further, you agree not to reverse engineer or reverse compile any of the service technology, including but not limited to, any Java applets used in connection with the provision of Facility.
  5. Content You Provide. You are licensing to Zoho and its service providers, including Yodlee, Inc. ("Yodlee"), any information, data, passwords, materials or other content (collectively, "Content") you provide through or to the Facility. Zoho and Yodlee may use, modify, display, distribute and create new material using such Content to provide the Facility to you. By submitting Content, you automatically agree, or promise that the owner of such Content has expressly agreed that, without any particular time limit, and without the payment of any fees, Zoho and Yodlee may use the Content for the purposes set out above. Though the Content is stored by Yodlee, Zoho and Yodlee acknowledge that you own your confidential account information.
  6. Third Party Accounts. By using the Facility, you authorize Zoho and Yodlee to access third party sites designated by you, on your behalf, to retrieve information requested by you, and to register for accounts requested by you. For all purposes hereof, you hereby grant Zoho and Yodlee a limited power of attorney, and you hereby appoint Zoho and Yodlee as your true and lawful attorney-in-fact and agent, with full power of substitution and re-substitution, for you and in your name, place and stead, in any and all capacities, to access third party internet sites, servers or documents, retrieve information, and use your information, all as described above, with the full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such activities, as fully to all intents and purposes as you might or could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN ZOHO OR YODLEE ACCESSES AND RETRIEVES INFORMATION FROM THIRD PARTY SITES, ZOHO AND YODLEE ARE ACTING AS YOUR AGENT, AND NOT THE AGENT OR ON BEHALF OF THE THIRD PARTY. You agree that third party account providers shall be entitled to rely on the foregoing authorization, agency and power of attorney granted by you. You understand and agree that the Facility is not endorsed or sponsored by any third party account providers accessible through the Facility.
  7. DISCLAIMER OF WARRANTIES. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: YOUR USE OF THE FACILITY AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE THROUGH THE FACILITY IS AT YOUR SOLE RISK. THE FACILITY IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ZOHO AND YODLEE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND AS TO THE FACILITY AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE FACILITY, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

    ZOHO AND YODLEE MAKE NO WARRANTY THAT
    • THE FACILITY WILL MEET YOUR REQUIREMENTS.
    • THE FACILITY WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
    • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE FACILITY WILL BE ACCURATE OR RELIABLE.
    • THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE FACILITY WILL MEET YOUR EXPECTATIONS, OR ANY ERRORS IN THE TECHNOLOGY WILL BE CORRECTED.
    ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE FACILITY IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM ZOHO OR YODLEE THROUGH OR FROM THE FACILITY WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
  8. LIMITATION OF LIABILITY. YOU AGREE THAT NEITHER ZOHO OR YODLEE NOR ANY OF THEIR AFFILIATES, ACCOUNT PROVIDERS OR ANY OF THEIR AFFILIATES WILL BE LIABLE FOR ANY HARMS, WHICH LAWYERS AND COURTS OFTEN CALL DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF ZOHO OR YODLEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM:
    • THE USE OR THE INABILITY TO USE THE FACILITY;
    • THE COST OF GETTING SUBSTITUTE GOODS AND SERVICES;
    • ANY PRODUCTS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH OR FROM THE FACILITY;
    • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
    • THE USE, INABILITY TO USE, UNAUTHORIZED USE, PERFORMANCE OR NON-PERFORMANCE OF ANY THIRD PARTY ACCOUNT PROVIDER SITE, EVEN IF THE PROVIDER HAS BEEN ADVISED PREVIOUSLY OF THE POSSIBILITY OF SUCH DAMAGES; OR
    • ANY OTHER MATTER RELATING TO THE FACILITY.
  9. Indemnification. You agree to protect and fully compensate Zoho and Yodlee and their affiliates from any and all third party claims, liability, damages, expenses and costs (including, but not limited to reasonable attorneys fees) caused by or arising from your use of the Facility, your violation of these Terms or your infringement, or infringement by any other user of your account, of any intellectual property or other right of anyone. You agree that Yodlee is a third party beneficiary of the above provisions, with all rights to enforce such provisions as if Yodlee were a party to these Terms.
